EULA - End User License Agreement

SSERIALTOOL END-USER LICENSE AGREEMENT (EULA)

IMPORTANT: PLEASE READ THIS END-USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING SERIALTOOL SOFTWARE. BY INSTALLING OR USING SERIALTOOL, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.

1. DEFINITIONS

1.1 "SerialTool" refers to the software developed by Duolabs, an Electronics Design company based in Italy, as well as any associated media, printed materials, and online documentation.

1.2 "User" refers to any individual or entity that installs, uses, or accesses SerialTool.

2. LICENSE GRANT

2.1 Duolabs grants the User a non-exclusive, non-transferable, and limited license to install and use SerialTool for personal or business purposes, subject to the terms and conditions of this EULA.

2.2 The User may install and use SerialTool on multiple devices for their personal use, but may not sublicense, distribute, or transfer SerialTool to any third party without the express written consent of Duolabs.

3. INTELLECTUAL PROPERTY

3.1 SerialTool and all related intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, are and shall remain the sole property of Duolabs.

3.2 The User acknowledges and agrees that SerialTool is protected by copyright laws and international treaties.

4. RESTRICTIONS

4.1 The User may not reverse engineer, decompile, disassemble, modify, or create derivative works based on SerialTool.

4.2 The User may not remove or alter any copyright, trademark, or other proprietary notices from SerialTool or its documentation.

5. DISCLAIMER OF WARRANTY

5.1 SerialTool is provided "as is," without any warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

6. LIMITATION OF LIABILITY

6.1 In no event shall Duolabs be liable for any indirect, special, incidental, or consequential damages arising out of the use or inability to use SerialTool.

6.2 The User agrees to indemnify and hold Duolabs harmless from and against any claims, liabilities, damages, losses, or expenses arising from the User's use or misuse of SerialTool.

7. TERMINATION

7.1 This EULA is effective until terminated. The User may terminate it at any time by uninstalling SerialTool and destroying all copies.

7.2 Duolabs may terminate this EULA if the User fails to comply with any of its terms and conditions. Upon termination, the User must cease all use of SerialTool and destroy all copies.

8. GOVERNING LAW

8.1 This EULA shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles.

9. ENTIRE AGREEMENT

9.1 This EULA constitutes the entire agreement between the User and Duolabs regarding the use of SerialTool and supersedes all prior agreements, understandings, and representations.
